Terms of Use

1. Definitions

  • "Platform" - The HGV online interface located at hgv.legalnoticegateway.com.
  • "Publisher" - Any third-party newspaper, official gazette, or authorised media outlet engaged to publish legal notices.
  • "Notice" - Any HGV-related legal or statutory notice submitted for publication through LNG.
  • "Service" - The facilitation of Notice placement by LNG, including submission via API or email and related communications.
  • "Point of Transmittal" - The moment LNG successfully transmits the Notice data to the Publisher's API, intake system, or designated email receiver.

2. Agreement to Terms

By creating an account on the Platform, you ("Advertiser", "you", or "your") and Legal Notice Gateway Ltd (reg no. 16644780, vat no. 501610157) ("we", "us", or "LNG") of 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ agree to be bound by these Terms and Conditions, the Data Processing Addendum (DPA), and the Privacy Policy.

The Platform is provided solely to business customers. By using it, you confirm you act in the course of business and not as a consumer.

3. Scope of Service & Intermediary Status

3.1. Neutral Intermediary: LNG acts strictly as a neutral intermediary and submission platform between you and Publishers. You acknowledge that LNG does not hold editorial power over Publishers; the decision to accept or format a Notice remains exclusively with the Publisher.

3.2. Submission Only: The Service is limited to providing a submission platform and transmitting approved Notice content. LNG is not liable for any failure or editorial rejection caused by the acts or omissions of the Publisher.

3.3. Completion of Service: LNG's obligations under the Service are deemed fulfilled at the Point of Transmittal.

3.4. SLA Capacity: LNG does not currently provide a standardised Service Level Agreement (SLA). Should you wish to discuss a tailored SLA, please contact us at support@legalnoticegateway.com.

3.5. Service Commitments: While LNG does not offer a formal SLA, we are committed to high service standards. We aim to keep the Platform operational through reasonable endeavours, excluding scheduled maintenance or unforeseen outages. We often undertake scheduled maintenance between 00:00 and 04:00 GMT to minimise user impact, with any scheduled maintenance communicated in advance here. These commitments do not form part of a contractual SLA, and do not give rise to any entitlement for service credits or refunds.

4. Advertiser Responsibilities

4.1. Legal Obligation: You acknowledge that the legal obligation to publish a Notice rests with you. LNG acts only as the agent helping you fulfil that obligation.

4.2. Accuracy: You warrant that all Notice content is accurate, lawful, and complies with statutory requirements.

4.3. Digital Proofs: Digital proofs are generated based solely on information input by you. Approval of a proof constitutes your final, irrevocable instruction to proceed to the Point of Transmittal.

5. Pricing, Payment & Disputes

5.1. Final Price: The price presented at the point of authorisation is binding and includes itemised UK VAT.

5.2. Payment Authorisation: By approving a Notice, you authorise LNG to collect the total fee via Direct Debit. You acknowledge that while the Service may proceed to the Point of Transmittal immediately upon approval, funds will typically be debited from your account 3-5 business days thereafter.

5.3. Payment Integrity: The Direct Debit Guarantee gives you some rights as a customer, however it does not cover situations where you have knowingly authorised a payment and later regretted the decision. In such cases, where the Notice has passed the Point of Transmittal, LNG reserves the right to pursue full recovery of the outstanding amount through follow-up invoices, providing evidence to BACS for a Direct Debit Indemnity Claim (often issued by your Bank/Building Society) and, if necessary, legal action.

5.4. Disputes: We acknowledge that occasionally disputes may arise regarding payments taken by LNG through our partner GoCardless Ltd. If you believe there has been an error or unauthorised transaction, please contact our support team at support@legalnoticegateway.com. We will always investigate claims of erroneous payments and take appropriate action within 15 days, in accordance with the Direct Debit Guarantee and guidance from the Financial Ombudsman.

6. System Security & Responsible Disclosure

6.1. Prohibited Activity: Any attempt to interfere with, circumvent, or breach the security and integrity of the Platform or LNG's wider technical infrastructure is a material breach of these Terms. Such actions will result in an immediate account ban and potential legal action under the Computer Misuse Act 1990.

6.2. Responsible Disclosure: Should you identify a potential security vulnerability or exploit within the Platform, you agree to act responsibly and report your findings privately to our technology security team at security@legalnoticegateway.com.

7. Artificial Intelligence (AI)

7.1. Usage: LNG uses Artificial Intelligence within the Platform to assist with data processing and user support.

7.2. No Warranty: LNG does not accept responsibility for the outputs of the AI. We cannot guarantee the accuracy, completeness, or reliability of any information generated by AI.

7.3. Exclusion of Liability: LNG shall not be liable for any actions taken based on responses or suggestions provided by the AI.

7.4. Data Protection: Pursuant to our enterprise agreements with AI providers, LNG does not permit any third party to use your data to train their AI models.

8. Cancellations & Public Record

8.1. Irrevocability: Once a Notice has reached the Point of Transmittal, it cannot be cancelled or amended.

8.2. Public Record: Once published by a Publisher, a Notice becomes a permanent part of the public record. LNG has no ability to withdraw or delete published notices.

9. Liability & Indemnity

9.1. Liability Cap: LNG's total cumulative liability for any and all claims shall be strictly limited to the total fees paid by you to LNG in the six (6) months immediately preceding the date the claim first arose.

9.2. Consequential Loss: LNG shall not be liable for any indirect or consequential damages, including loss of business or statutory penalties resulting from Publisher delays.

9.3. Advertiser Indemnity: You agree to indemnify and hold LNG harmless against any claims, losses, damages, or costs (including legal fees) arising from the content of any Notice submitted by you, including but not limited to claims of defamation, intellectual property infringement, misrepresentation, unlawful content, or statutory non-compliance, except to the extent such claims arise directly from LNG's breach of these Terms. This indemnity is subject to applicable public policy limitations, and does not apply to fines or penalties where indemnification is prohibited by law.

10. Advertising Standards & Data

10.1. Each party shall comply with the UK Code of Non-broadcast Advertising (CAP Code). LNG may suspend any Notice it reasonably believes to be in breach of ASA guidelines.

10.2. LNG processes personal data in accordance with the Privacy Policy and the DPA.

11. General Provisions

11.1. Entire Agreement: These Terms, the Privacy Policy, and the DPAconstitute the entire agreement between you an LNG.

11.2. Severability: If any part of these Terms is found to be unenforceable, the remainder shall remain in full force.

11.3. Assignment: You may not assign your rights under these Terms without consent.

11.4. Variation of Terms: From time to time, we may update our Terms of Use. We will notify you of any changes via email. Continued use of the Platform after such changes constitutes your acceptance of the updated Terms of Use.

11.5. Notices: Formal legal notice to LNG must be sent in writing to our registered office address.

12. Force Majeure

LNG shall not be liable for any failure or delay in performing its obligations where such failure or delay results from any cause that is beyond our reasonable control. Such causes include, but are not limited to: acts of God, flood, fire, pandemic, civil unrest, acts of terrorism, strikes or industrial action (including those by Publisher staff), Publisher system outages, telecommunications or internet provider failures, or any mandatory editorial decisions or cut-offs imposed by Publishers.

13. Governing Law

These Terms are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
